Clipt User Agreement

1. Scope & Acceptance

These Terms govern access to the Clipt web application, browser extension, APIs, rendering workers, and any other service that references them (collectively, the “Services”). By creating an account, installing the extension, accessing our APIs, or continuing to use the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you confirm you are authorized to bind that organization.

2. Definitions

  • “User Content” means clips, captions, transcripts, templates, metadata, comments, and any other material you upload, create, stream, or transmit through the Services.
  • “Output” means AI-generated captions, translations, or other content produced by the Services.
  • “Beta Features” are experimental capabilities marked “beta,” “preview,” or similar and may be modified or discontinued at any time.

3. Eligibility & Accounts

  • You must be at least 16 or the age of digital consent in your jurisdiction.
  • Users under the age of majority must have parent or guardian consent. Business users must ensure their administrators have authority to bind the entity.
  • You are responsible for keeping credentials, OAuth sessions, and API keys secure and for all activity under your account.
  • We may reject, reclaim, or require you to update account identifiers that violate these Terms.

4. License to Use Clipt

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your own business or personal content creation. Except for this license, no other rights (including ownership or implied licenses) are granted. We reserve all rights in our software, UI, models, interfaces, documentation, and trademarks.

5. User Content & License to Clipt

  • You retain ownership of User Content.
  • You grant Kabal LLC a worldwide, royalty-free license to host, process, adapt, transcode, analyze, and transmit User Content solely to operate, troubleshoot, secure, and improve the Services.
  • This license ends when User Content is deleted from our active systems, subject to backups and legal retention requirements.
  • You represent that you have all rights necessary to grant this license and that User Content does not infringe the rights of others.

6. Feedback

If you submit ideas, bug reports, or suggestions, you grant Kabal LLC a perpetual, irrevocable, worldwide license to use that Feedback without compensation, including to develop and improve Clipt. Feedback is optional.

7. AI Output & Beta Features

AI-generated Output can contain inaccuracies or hallucinations and should be reviewed before publishing or relying on it for legal, medical, financial, or other regulated uses. Beta Features are provided “as is,” may log additional telemetry, and can be disabled without notice. Your use of Output and Beta Features is at your own risk.

8. Acceptable Use

  • No unlawful, infringing, defamatory, hateful, or deceptive content.
  • No uploading viruses, malware, or content that interferes with other users.
  • No reverse engineering, scraping, bulk extraction, or benchmarking without written consent.
  • No resale, sublicensing, or providing the Services to third parties as a managed service.
  • No attempts to bypass quotas, abuse compute resources, or misrepresent your affiliation.

We may monitor compliance, suspend or terminate accounts, remove content, and notify authorities when required by law.

9. Third-Party Services & Links

Clipt integrates with identity providers, storage vendors, AI engines, social platforms, and payment processors. Third-party terms govern those interactions. We are not responsible for availability, security, or content provided by third parties. If you authorize any integration, you grant us permission to share the data necessary to enable it.

10. Fees, Taxes & Trials

  • Plan limits, fees, and billing cycles are described during checkout or in order forms.
  • Unless expressly stated otherwise, fees are non-refundable and exclude taxes, duties, or exchange fees, which you are responsible for paying.
  • We may modify pricing with reasonable notice. Continued use after the effective date constitutes acceptance of the new fees.
  • Failure to pay may result in suspension, downgrade, or removal of User Content. We may use collections services to recover overdue amounts.

11. Confidentiality & Security

If you access non-public Clipt information (such as unreleased features or APIs), you must protect it using the same care you use for your own confidential information and only use it as permitted. We employ administrative, technical, and physical safeguards, but no system is perfectly secure. Notify us immediately at support@clipt.cc if you believe your account or data has been compromised.

12. Service Changes & Availability

We may modify, remove, or add features, impose new limits, or discontinue the Services. We strive to provide reasonable notice when practicable. We reserve the right to suspend access for maintenance, security incidents, or suspected violations. We are not liable for downtime or data loss arising from maintenance or force majeure events.

13. Intellectual Property & Trademarks

The Services and all content therein (excluding User Content) are protected by copyright, trademark, and other laws. “Clipt,” associated logos, and product names are trademarks of Kabal LLC. You may not use our marks without prior written permission, except to reference your use of Clipt in a truthful, non-misleading manner.

14. DMCA & Content Notices

We respect intellectual property rights. If you believe content infringes your copyright, please send a notice to ip@clipt.cc that includes:

  • Your contact information and physical or electronic signature.
  • Identification of the copyrighted work and the infringing material.
  • A statement under penalty of perjury that the notice is accurate and you are authorized to act.

We may notify the user who posted the material and take appropriate action, including disabling or removing the content and terminating repeat infringers.

15. Export & Sanctions Compliance

You must comply with applicable export control and economic sanctions laws. You may not use or access the Services if you are located in, or are a resident of, a jurisdiction embargoed by Honduras, the United States, or other applicable authorities, or if you are on a denied-party list. You represent that you are not subject to such restrictions.

16. Representations & Warranties

You represent that (a) you have the authority to enter into these Terms, (b) your use of the Services will comply with all laws and regulations, and (c) your User Content will not infringe, misappropriate, or violate the rights of any third party.

17. Disclaimer

To the fullest extent allowed by law, the Services, Beta Features, and Output are provided “as is” and “as available.” Kabal LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, accuracy, and any warranties arising out of course of dealing or usage of trade.

18. Limitation of Liability

  • Kabal LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, or data, even if we have been advised of the possibility of such damages.
  • Our aggregate liability arising out of or relating to the Services will not exceed the amount you paid to us in the twelve (12) months before the event giving rise to the claim.
  • The limitations in this Section apply to the maximum extent permitted by law and do not limit liability for gross negligence, intentional misconduct, or personal injury caused by our fraud.

19. Indemnification

You will defend, indemnify, and hold harmless Kabal LLC, its affiliates, and their respective directors, officers, employees, and contractors from any claim, damage, liability, cost, or expense (including reasonable attorneys’ fees) arising from your User Content, your use of the Services, or your breach of these Terms.

20. Governing Law & Venue

These Terms are governed by the laws of Honduras applicable to contracts formed and performed by Kabal LLC, without regard to conflict-of-law principles. The courts located in or nearest to Roatán will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect intellectual property or confidential information.

21. Arbitration & Class Waiver (U.S. Residents)

If you reside in the United States, any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered by JAMS under its Comprehensive Rules, rather than in court, except you may pursue claims in small claims court. You and Kabal LLC waive the right to participate in a class action or class-wide arbitration. You may opt out of this Section by emailing support@clipt.cc within 30 days of first accepting these Terms.

22. Consumer Rights (EU/UK/Brazil)

If you are a consumer located in the EU, UK, or Brazil, mandatory rights under local law (including rights to withdraw from distance contracts, statutory warranties, or to raise complaints with local authorities) remain unaffected by these Terms. Nothing herein limits rights that cannot be waived under applicable law.

23. Changes to These Terms

We may revise these Terms to reflect new features, legal requirements, or business needs. We will post the updated Terms and revise the “Last updated” date. Material changes will be communicated via the Services or email. Continued use after the effective date constitutes acceptance.
